Terms & Conditions
This Agreement contains the terms and conditions that apply to your purchase
of products from Rabbit Semiconductor pursuant to the invoice on the front
side of this document, and if you (“Customer”) purchase over the internet
or by telephone, the invoice that will be provided to you on orders of
products from Rabbit Semiconductor. By accepting delivery of products
from Rabbit Semiconductor, Customer agrees to be bound and to accept these
terms and conditions. These terms and conditions shall apply unless Customer
has signed a separate purchase agreement with different terms and conditions.
1. Terms of Sale. Terms are net 30 days from invoice date with
approved credit. If your credit has not been established with Rabbit Semiconductor,
terms may be payment in advance or C.O.D. Seller reserves the right at
any time and for any reason to require payment in advance or C.O.D., or
otherwise to modify, suspend, or terminate any credit terms previously
extended to Buyer. Seller shall be entitled to refuse or delay shipments
for failure by Buyer to pay within terms any payments due Seller, whether
on this or any other contract between Seller and Buyer. All shipments
are F.C.A. (Free in hands of Carrier). Items are shipped by a fast/standard
method unless otherwise specified, with shipping charges and insurance
prepaid and added as a separate charge on your invoice. A 1.5% per month
service charge is added to delinquent accounts. In the event that it becomes
necessary for Rabbit Semiconductor to incur collection costs or institute
a suit to collect any amount due and payable, the customer (Buyer) agrees
to pay such additional collection costs, charges, and expenses, including
attorney's fees if the account is placed in the hands of an attorney or
an agency for collection. Prices are subject to change without notice.

2. Forms of Payment. Acceptable forms of payment include check,
money order, C.O.D., wire transfer, SWIFT Transfer, VISA, MasterCard,
or American Express, all in United States of America Currency only (USD).
3. Governing Law. THIS AGREEMENT AND ANY SALES THERE UNDER SHALL
BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, WITHOUT REGARD TO
CONFLICTS OF LAWS RULES.
4. Shipping Charges; Taxes. Separate charges for shipping
and handling will be shown on the invoice(s). Unless Customer provides
Rabbit Semiconductor with a valid and correct tax exemption certificate
applicable to the product ship-to location prior to Rabbit Semiconductor’s
acceptance of the order, the Customer is responsible for sales and all
other taxes associated with the order. If applicable, a separate charge
for taxes will be shown on the invoice.
5. Title; Risk of Loss. Title to products passes from Rabbit
Semiconductor to Customer on shipment from Rabbit Semiconductor’s facility.
Loss or damage that occurs during shipping by a carrier selected by Rabbit
Semiconductor is Rabbit Semiconductor’s responsibility. Loss or damage
that occurs during shipping by a carrier selected by Customer is Customer's
responsibility. Title to software will remain with the applicable licensor(s).
6. Claims for omitted or Damaged Goods. Any claims by Customer
for omission of products in the shipped goods, shortages of product, or
damaged goods in a shipment are waived by Customer unless Customer provides
notice to Rabbit Semiconductor within 10-days after Customer’s receipt
of shipment.
7. Limited Warranty. Rabbit Semiconductor products are warranted
to meet the stated performance and quality standards and to be free of
defects in material and workmanship. Customer may return all Rabbit Semiconductor
products for repair or replacement due to defects in original materials
and workmanship if Rabbit Semiconductor is notified within ninety days
of customer’s receipt of the product. Rabbit Semiconductor reserves the
right to repair or replace products at its own and complete discretion.
Customer must obtain from Rabbit Semiconductor
a Return Material Authorization Number (RMA) prior to returning any products
to Rabbit Semiconductor. Products returned under this Warranty must
be unmodified and in original packaging. Rabbit Semiconductor reserves
the right to refuse warranty repairs or replacements for any products
that are damaged or not in original form. For products outside the ninety-day
warranty period repair services are available at Rabbit Semiconductor
standard labor rates.
8.Thirty-Day Return Policy. Customers may return all Rabbit Semiconductor
products (except evaluation kits, tool kits, development kits, microprocessors,
memory chips, custom order, and components) for a full refund if Rabbit
Semiconductor is contacted within thirty days of the customer’s receipt
of the product. Customer may return Rabbit Semiconductor products for
credit, exchange, or a refund. Customer
must obtain from Rabbit Semiconductor a Return Material Authorization
Number (RMA) prior to returning any products to Rabbit Semiconductor.
Products must be returned unmodified and in original packaging. Rabbit
Semiconductor reserves the right to refuse return rights for any products
that are damaged or not in original form. Volume orders are subject to
a restocking fee.
9. NO OTHER WARRANTIES. RABBIT SEMICONDUCTOR MAKES NO OTHER WARRANTY
OR REPRESENTATION IMPLIED OR EXPRESS FOR ITS PRODUCTS WITH RESPECT TO
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER MATTER.
RABBIT SEMICONDUCTOR SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE FOR
ANY INCIDENTAL, CONSEQUENTIAL OR COMPENSATORY DAMAGES ARISING FROM THE
USE OF, OR IN CONJUNCTION WITH, ITS PRODUCTS. THE MAXIMUM LIABILITY THAT
CAN BE ASSESSED AGAINST RABBIT SEMICONDUCTOR FOR BREACH OF WARRANTY IS
THE INVOICE PRICE OF ITS PRODUCTS. RABBIT SEMICONDUTOR IN ADDITION TO
THE WARRANTIES DISCLAIMED ABOVE SPECIFICALLY DISCLAIMES ANY AND ALL WARRANTIES
IMPLIED OR EXPRESSED FOR USE IN LIFE SUPPORT OR MEDICAL DEVICES.
10. United States Laws. Customer agrees to comply with all
applicable laws and regulations of the various states and of the United
States. Rabbit Semiconductor has separate terms and conditions governing
resales and transactions outside the United States.
11. Software. All software is provided subject to the license
agreement that is provided with the Product. You agree that you and your
customers will be bound by such license agreement.
12. Disputes. The parties agree that the courts of the State
of California shall have jurisdiction over any claim, or dispute or controversy
(whether in contract, tort or otherwise) against Rabbit Semiconductor,
its agents, employees, successors, assigns or affiliates (collectively
for purposes of this paragraph, “Rabbit Semiconductor”) arising out of
or relating to this Agreement, Rabbit Semiconductor’s advertising, or
any related purchase. Customer agrees to appear in any such action and
hereby consents to the jurisdiction of such court.

International Customer Ordering Information
How Are Z-World Worldwide Sales Fulfilled?
If you are ordering on our webstore from a country with a Z-World Distributor presence, your order will
be sent by our International Sales Team to our Distributor for your country to provide you with regional
sales assistance, product delivery, and technical support. Click
here for a list of Z-World Distributor countries. International shipments are exclusive of customs
duties, taxes, and/or importation fees, which are the responsibilty of the buyer.
Why Might Distributor Prices Differ from the Z-World Webstore?
Distributor prices can differ from the U.S. prices quoted on our website as
they include applicable taxes, duties, tariffs, and shipping charges incurred.

Does the Webstore Accept Credit Cards for International Orders?
Our webstore accepts credit card information for orders that are fulfilled at our headquarters. In Z-World
Distributor countries (click here for list), webstore orders
are taken without credit card information for customer security. These orders are forwarded by our International
Sales Team to the Distributor for that country. Sometimes international economic or political volatility
affects our ability to process credit card orders over the Internet. In these cases, we will contact
the customer directly for payment information.
What Countries Does Z-World Not Sell To?
Z-World is not authorized to ship to countries subject to U.S. embargo. Currently,
these countries include Cuba, Iran, Iraq, Libya, North Korea, Syria, and the
Sudan.
